Terms of Service
These terms govern the use of the firmstead.app website and the FirmStead software service (the “Service”) provided by FirmStead (“FirmStead”, “we”). A company that subscribes to the Service (the “Customer”) accepts these terms on behalf of itself and the people it invites (“Users”). A separate signed order or agreement, where one exists, takes precedence over these terms.
1. The Service
FirmStead provides web-based software for managing construction and renovation projects. We may improve, change or add features over time; we will not remove a core feature a Customer relies on without reasonable notice.
2. Accounts
Accounts are created by FirmStead or by the Customer’s administrators. The Customer is responsible for who it invites, the roles it assigns, and keeping passwords confidential. Tell us right away at alex.kournitsky@gmail.com if you suspect unauthorized access.
3. Acceptable use
- Use the Service only for lawful business purposes.
- Do not try to access another company’s data, probe or disrupt the Service, or get around its security or usage limits.
- Do not upload content you do not have the right to use, or send unsolicited bulk messages through the Service.
4. Customer data
The Customer owns the data it and its Users put into the Service (“Customer Data”). We use Customer Data only to provide, secure and support the Service, as described in our Privacy Policy. The Customer is responsible for having the right to collect and share the personal information it enters, including that of its own clients and employees. On request, and within 90 days after the subscription ends, we will provide an export of Customer Data in a common format before deleting it.
5. AI features
Some features use artificial intelligence to draft estimates, scopes of work and other content or to suggest prices. These suggestions can be wrong. The Customer is responsible for reviewing any AI-generated content before relying on it or sending it to anyone.
6. Fees
Fees, billing period and any trial are set out in the Customer’s order or quote. Fees are exclusive of applicable taxes. We may suspend access for invoices more than 30 days overdue after giving written notice.
7. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted operation. Planned maintenance will be scheduled to limit disruption. Support is provided by email at alex.kournitsky@gmail.com.
8. Intellectual property
FirmStead and its licensors own the Service, its software and its design. The Customer receives a non-exclusive, non-transferable right to use the Service during its subscription. Suggestions you send us may be used freely to improve the Service.
9. Warranties and liability
Except as stated in these terms, the Service is provided “as is”. FirmStead is a management tool and does not replace professional judgment on design, structure, code compliance, safety or pricing. To the extent the law allows, neither party is liable for indirect or consequential losses such as lost profits, and each party’s total liability is limited to the fees paid by the Customer in the 12 months before the claim. Nothing in these terms limits rights that cannot be limited under applicable consumer protection law.
10. Term and termination
The subscription runs for the period in the order and renews unless either party gives notice. Either party may end it if the other materially breaches these terms and does not fix the breach within 30 days of notice. Sections 4, 8 and 9 survive termination.
11. Changes to these terms
We may update these terms. We will post the new version here and notify Customers of material changes at least 30 days before they take effect.
12. Governing law and language
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. These terms are available in English and French; both versions are equally valid. The parties have required that these terms and all related documents be drawn up in English and French.
